Terms of Service

Real talk about using MIDNIGHT. No corporate BS, just what you need to know.

The Basics

  • MIDNIGHT offers student productivity and AI study tools, free to use. Some features have monthly usage limits, rate limits, or boosts that may change as the product evolves.
  • You own your inputs and outputs subject to any rights in the original materials. You grant MIDNIGHT permission to process them so we can provide, secure, debug, and improve the service.
  • We do not sell your data or use your content to train a MIDNIGHT-owned general-purpose model.
  • Do not use MIDNIGHT to cheat. We built it to help you learn and organize your work, not to bypass school rules.
  • We can suspend or limit accounts that violate these terms, abuse the platform, evade limits, or harm other users or systems.

Your Account

  • You must be at least 13 years old to create an account. If you are 13-17, you may need parental consent depending on your jurisdiction.
  • Use an email you control and keep your login credentials secure.
  • One account per person. Do not share logins or sell access to your account.
  • If you connect Canvas, Google Classroom, Google Drive, Notion, or another integration, you authorize MIDNIGHT to access and process the connected data needed for the features you enable.
  • You can delete or deactivate your account. We remove or anonymize active account data where required and technically feasible, though backups, logs, security records, and legal records may remain for a limited period.

Using MIDNIGHT

  • Our AI helps you learn; it is a supplement to your education, not a replacement for teachers, instructors, or your own effort.
  • AI Grader provides grade estimates and feedback, not official grades. Your instructor or school has the final say.
  • Research results, citations, summaries, quizzes, flashcards, and study materials may be incomplete or inaccurate. Review sources and important outputs before relying on them.
  • Connected integrations sync available data as provided by the third-party service. We are not responsible for inaccuracies, downtime, policy changes, or data differences in those services.
  • We may have downtime for maintenance, provider outages, or security response.

AI-Powered Features

  • Grader, Tutor, Quiz, Flashcards, document extraction, search, URL import, transcript, voice, image, and video features may send relevant content to third-party AI, search, transcript, document, storage, and infrastructure providers.
  • AI outputs can be wrong, biased, incomplete, or unsuitable for your exact assignment. You are responsible for reviewing, editing, and deciding what to submit.
  • You are responsible for following your school, instructor, employer, and platform policies when using AI-assisted work.

Usage and Limits

  • MIDNIGHT is free to use. Features may include monthly usage limits, rate limits, refresh cycles, boosts, or feature caps.
  • Usage limits and boosts are not money, do not have cash value, and may change as the product evolves.
  • If an AI operation fails mid-processing and the app can detect it, any usage counted toward your limits may be automatically restored.

Acceptable Use

  • Do not fabricate, inflate, or misrepresent AI-generated grades, feedback, credentials, transcripts, or records as official academic records.
  • Do not use MIDNIGHT to facilitate academic dishonesty or submit AI-generated work as entirely your own if that violates school policy.
  • Do not attempt to circumvent usage limits, rate limits, authentication, authorization, URL safety checks, file validation, or other security controls.
  • Do not upload malware, exploit payloads, harmful instructions, copyrighted material you lack rights to use, or highly sensitive personal information unless necessary for your requested feature.
  • Do not reverse-engineer, scrape, overload, scan, attack, or attempt unauthorized access to MIDNIGHT or connected third-party services.

Third-Party Services

  • MIDNIGHT depends on third-party services for authentication, hosting, database, file storage, email, analytics, monitoring, background jobs, AI, search, transcripts, document processing, voice, image, video, and integrations.
  • Those services may process your data as described in the Privacy Policy and under their own terms, security programs, and retention practices.
  • Your use of connected services such as Canvas, Google Classroom, Google Drive, and Notion remains subject to those services' terms and permissions.

The Legal Stuff

  • MIDNIGHT is provided "as is" without warranty. We do not guarantee uninterrupted service, perfect AI accuracy, or specific academic outcomes.
  • You are responsible for your submissions, deadlines, grades, sources, citations, copyright permissions, and compliance with school policies.
  • If we get sued because of something you did, you agree to cover our legal fees to the extent permitted by law.
  • Because MIDNIGHT is provided free of charge, our total liability to you is limited to the maximum extent permitted by applicable law.
  • These terms are governed by the laws of the State of Washington, USA.
  • We may update these terms. Continued use after changes means you accept the new terms.

TL;DR

Use MIDNIGHT to learn, organize, and study. Do not use it to cheat, attack the service, or misrepresent AI output as official academic work. MIDNIGHT is free to use; some features have usage limits and rely on third-party AI providers and connected integrations.
